The Mumbai LCD Center of Excellence (LCD CoE) supports global businesses across Institutional Securities, Wealth Management, Investment Management and firmwide infrastructure functions such as Technology, Operations, Finance, Risk Management, Legal and Corporate & Enterprise Services. As an intern, you join a global team that has been building Morgan Stanley’s India presence since 1993 and works closely with colleagues in Mumbai, Bengaluru, the US and EMEA.

LCD is made up of four main groups that you may interact with during the internship:

  • Legal Department – Provides guidance, policies and procedures to help business units comply with laws, regulations and firm policies.

  • Global Compliance Department – Identifies applicable compliance obligations and runs the firm‑wide compliance risk management program across business lines, entities and jurisdictions.

  • Global Financial Crimes (GFC) – Designs and governs global financial crime prevention, including AML, Sanctions, Anti‑boycott, Anti‑Corruption (ACG) and Government & Political Activities Compliance (GPAC) programs.

  • Global Regulatory Relations Group (GRRG) – Manages relationships and supervisory activities with regulators worldwide, coordinating regulatory reviews, examinations and continuous monitoring.

The LCD CoE in Mumbai is part of Morgan Stanley’s Global In‑house Center and delivers global support to these functions, making it a key pillar of the firm’s overall LCD strategy.

What you will do – key internship responsibilities

You will work on matters that span wealth management advisory, client documentation, and technology & data legal, gaining broad exposure to practical legal work in a global investment bank. Typical responsibilities include:

Wealth Management Advisory

  • Reviewing and outlining powers of attorney (PoA), including powers granted to agents on client accounts.

  • Handling branch inquiries on PoA and related legal questions.

  • Conducting legal research on PoA‑related issues and applicable laws.

  • Drafting clear summaries of the powers granted under PoA for internal stakeholders.

  • Advising branch personnel on the scope of agents’ powers and relevant legal considerations.

Client Documentation team

  • Reviewing, drafting and negotiating Non‑Disclosure Agreements (NDAs), including back‑to‑back NDAs and Non‑Reliance Letters connected to banking transactions.

  • Liaising with coverage lawyers and business units on NDA issues, including escalation of complex points.

  • Supporting FID Legal in reviewing and negotiating guarantees for traded products, ensuring alignment with Basel eligibility criteria.

  • Reviewing, drafting and negotiating a broad range of commercial and technology contracts, such as:

    • Software and hardware technology agreements (including reseller arrangements).

    • Service agreements for consulting, professional and general services.

    • NDAs, trial/evaluation agreements, renewals, amendments, schedules, terminations and novations.

  • Handling privacy and data protection aspects in contracts by reviewing/negotiating data protection language and managing related tasks.

  • Conducting legal research and assisting on ad‑hoc project work, including large‑scale contract remediation and data‑extraction projects.

Working pattern and collaboration

  • Standard working hours are Monday to Friday, 11:30 AM – 8:30 PM IST, with flexibility required for time‑sensitive matters (including some India public holidays).

  • You will join periodic calls with US and EMEA internal clients and vendors, giving you exposure to cross‑border matters and global teams.
